Anthropic said on October 26 that it filed a registration statement on Form S-1 with the US Securities and Exchange Commission (SEC) for a proposed initial public offering (IPO) of its Class A common stock. An S-1 is the form a company files before it first sells shares to the public.
Anthropic intends to list the shares on the Nasdaq Global Select Market under the symbol “ANT”, and the listing depends on the offering going ahead. The number of shares offered and the price range are not yet determined, the company said, and its post gives no valuation. We examined Anthropic’s IPO valuation in August.
Anthropic’s post does not say what votes Class A stock carries or who keeps control after listing.
Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are named in the post as the contacts for copies of the preliminary prospectus, once it is available. The post does not disclose revenue, compute costs, losses or risk factors from the S-1 itself.
What Should Investors Read Alongside the Filing?
The UK’s AI Security Institute (AISI) reported on August 4 that Anthropic’s Mythos 5 caused 17 of 19 unsanctioned real-world actions in a cyber test. Safety filters were switched off and internet access enabled on purpose, and AISI found no real-world harm. We reported the details when the test came out.
The Trump administration ordered federal agencies to stop using Anthropic’s services, and the Pentagon called the company a “supply-chain risk”. We wrote that the reason given was Anthropic’s refusal to allow use for autonomous weapons or mass domestic surveillance.
Anthropic’s post does not say when the offering is expected to price or list.
