Josh Payne is the Australian founder, chief executive and chair of Nscale, the London AI cloud company that had signed $103.4 billion of contracts by the end of August and wants to list in New York before the end of 2026. He started out in coal mines, and on November 5, Microsoft, one of his biggest customers, turned down an option to more than double its Texas deal.

Who Is Josh Payne?
Payne is an Australian entrepreneur who started in manual work and built the companies that became Nscale, one of Europe’s most valuable AI start-ups. He spent long shifts in coal mines, reading business books such as The 4-Hour Workweek in the downtime.
He then founded CTM Workforce, a labour-hire firm for tunnelling and mining projects. He also ran PT Capital, an adviser to energy and tech companies. In 2021 he co-founded Battery Future Acquisition Corp, a blank-cheque company that raised $345 million on the NYSE. It never found a battery-materials target, and Payne and the other managers resigned in January 2024. Nscale’s IPO filing lists no university degree for him.
How Did a Bitcoin Miner Become Nscale?
Nscale grew out of Arkon Energy, a bitcoin miner. Payne co-founded it with Nathan Townsend, chaired it from 2020 and is still a director. In December 2023 Arkon raised $110 million and set aside about $30 million for an AI cloud at its hydro-powered site in Glomfjord, Norway. That became Nscale, which Payne has led since June 2023. It was spun out of Arkon in May 2024.
His breakthrough was a cold LinkedIn message to Øyvind Eriksen, boss of Norway’s Aker, about cheap Nordic power. Aker became a partner at Narvik and led Nscale’s $1.1 billion Series B in September 2025. It now owns about 23%. That autumn Nscale also joined Stargate UK with OpenAI and NVIDIA. Microsoft then agreed to rent about 200,000 NVIDIA GB300 chips. In March 2026 Nscale raised $2 billion at a $14.6 billion valuation. Sheryl Sandberg, Nick Clegg and Susan Decker joined the board.
Payne pitches Nscale as the most complete of the neoclouds. “We own the land and power, we own the chips, and we own the software,” he said on Bloomberg Television in March.

What Did Microsoft Turn Down?
An option to more than double the capacity it rents from Nscale at Barstow, Texas. The extra capacity could have been worth “tens of billions of dollars.” Microsoft decided months before the September IPO filing, according to a person familiar with the matter. Its existing contract for about 104,000 NVIDIA chips stands.
Nscale says the option was closer to 500MW and its $103 billion backlog is unaffected. It is talking to other possible customers for the site. Five weeks earlier, Payne had celebrated Texas.
Nine months ago, our site in Ward County was an empty steel shell in West Texas. Today it’s a live AI data center delivering thousands of GPUs. That’s the pace the AI build-out demands. And it’s the pace we’re delivering.

It is the fourth setback with a big customer to come to light since April.
| Came to light | Customer | What happened |
|---|---|---|
| April 2026 | OpenAI | Withdrew from Stargate UK and Stargate Norway; Microsoft took over the Narvik capacity |
| August 2026 | Microsoft | Dropped a letter of intent for 1.35GW at Monarch, West Virginia; Anthropic then signed for its first 460MW building |
| October 2026 | Microsoft | Pulled out of Loughton, Essex, after grid power slipped to the 2030s |
| November 2026 | Microsoft | Had declined, months before the IPO filing, an option to expand at Barstow, Texas |
The contract book is still large on paper. At August 31, before the Loughton exit, Microsoft’s contracts were worth up to $43.8 billion and Anthropic’s up to $44.6 billion. That was about 85% of the $103.4 billion total. Only $2.6 billion was tied to capacity already running, as Nscale disclosed in its IPO filing.
How Much Is Josh Payne Worth?
Nobody can say yet, because the shareholder table in Nscale’s IPO filing stays blank until pricing. We found no published estimate. The largest stake linked to him belongs to Paladin Capital Limited, which holds more than 5%. It is owned by the trustees of a Jersey trust Payne set up. The filing says he “does not possess or share voting or dispositive power” over those shares.
His own awards cover about 3.47% of Nscale. They include options over 7.4 million shares from 2025 and an IPO award of 19.1 million performance shares. That award, about 2.5%, was valued at $350 million when granted. It vests from 2028 to 2032, and only if share-price, megawatt and other targets are met.

At the $30 billion to $35 billion Nscale wants, that 2.5% would be worth $750 million to $875 million. At the $16 billion to $19 billion some investors argue for, it would be $400 million to $475 million. Those are our calculations, before dilution.
Who Backs Josh Payne?
Aker, NVIDIA and a board of Big Tech veterans. Sandberg’s first words to him, Payne says, were “I don’t do boards and I don’t do these calls.” Ninety minutes into a 30-minute call, she saw “real visionary leadership”, she said on Bloomberg Television. Fidji Simo, Frank Slootman and Amy Banse joined the board in September and October.
NVIDIA supplies the GPUs, owns shares and has agreed to buy up to $1.2 billion of Nscale’s cloud services. It also guarantees up to $860 million of the Texas lease and is due to buy $1 billion of notes around November 16. “If we didn’t support Nscale, they wouldn’t be where they are today,” Jensen Huang said in April.
Why Do Critics Doubt Josh Payne?
Critics have questioned whether Nscale can deliver on what it has signed. It had 55MW running at the end of August against 1,370MW signed. It lost $1.02 billion in the first half of 2026 on $140.6 million of revenue. We broke down that gap when it filed.
Bloomberg headlined an October 29 profile “Nscale’s Unproven CEO.” It noted he had raised nearly $10 billion despite being “virtually unknown on Wall Street or in Silicon Valley.” Investors it spoke to argued for $16 billion to $19 billion, citing a Norway site about six months late.
Monarch is the next test. When it filed, Nscale had no binding commitments for the financing needed to deliver the Anthropic contracts. Anthropic can walk away from a late tranche without paying.
Payne’s answer is the contract book. “You always have some negative commentators. But as far as I can see, every dollar is backed by real revenues,” he said in June.
When Is the Nscale IPO?
Before the end of 2026, if Payne gets his way. Nscale plans to list on the NYSE as NSCL, with Goldman Sachs, J.P. Morgan and Morgan Stanley leading. Stricter lender terms have delayed its amended filing, making December more likely.
